SHAKE ON IT: ACCEPTANCE OF TERMS OF SERVICE AND ACKNOWLEDGEMENT OF BINDING AGREEMENT

Greenvelope, LLC ("Greenvelope,"; "our,"; "we,"; or "us";) provides an online platform to create, send, distribute, track, and receive custom digital cards on our website www.greenvelope.com (the "Website";) and mobile application (the "App";) (together with related websites and mobile Service operated by Greenvelope, the "Service";). By using our Service, regardless of how you access it, by computer, or through a mobile phone or other wireless or internet enabled device (each a "Device";) or otherwise, you agree to the following terms and conditions (the "Terms of Service";). 

In addition, when using particular features on or through the Service, you shall be subject to any posted policies and guidelines applicable to such features, including any terms or conditions applicable to features provided in conjunction with any of our content and service partners. All such rules and guidelines are hereby incorporated by reference into these Terms of Service.

If you do not understand or agree with these Terms of Service, you may not use our Service and may not register for an account. 

BY USING ANY OR PART OF THE SERVICE OR BY COMPLETING ANY REGISTRATION OR PURCHASE PROCESS WITHIN THE SERVICE, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS HEREIN AND THE PRIVACY NOTICE, WHICH TOGETHER WITH THESE TERMS OF SERVICES, CREATES A BINDING CONTRACT BETWEEN GREENVELOPE AND YOU. IF YOU DO NOT AGREE TO BE SO BOUND, DO NOT ACCESS OR USE THE SERVICE. You may continue to use the Service as long as you adhere to these Terms of Service. PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER.

AT YOUR SERVICE: AN OVERVIEW OF OUR SERVICE

The Service offer features that allow you to create and send cards, from wedding invitations, save-the-dates, thank you cards to birthday cards, from baby showers, birthday brunches, Super Bowl invitations to business dinners, and everything in between! The Service allows you to send cards via email, SMS/text, WhatsApp, Facebook Messenger, or a sharable link; receive and track RSVPs and other responses from your invitees to your events; set your seating chart; research events via our blog; research party planning ideas and tips and access event invitation tools; among other things. You get to control and design everything, from the color and style of the card, to the envelope!

THE DICTIONARY

Our products and Service provide hosts with online tools to design and distribute cards with features to facilitate and manage events ("Host"; or "Sender";), and provide guests with ability to communicate their response and utilize Service to participate in the event ("Guest"; or "Receiver";). All Hosts, Guests and browsers who access or interact with the Website are considered users of the Service ("Users"; or "you";). An event or service for which invitations are issued is an "Event";.

THE MOBILE APP 

You may access the Service on your Device through the App made available for download by Greenvelope. The App may allow you to access features of the Service and/or provide dedicated features only available through the Greenvelope App. If you download the App, we may require you to update the version of the App from time to time in order to continue to use the Service through the App. If you are accessing the App through an Apple Device, then the following additional terms and conditions are applicable to you and are incorporated into these Terms of Service by this reference:

To the extent that you are accessing the Service through an Apple Device, you acknowledge that these Terms of Service are entered into between you and Greenvelope and, that Apple, Inc. ("Apple";) is not a party to these Terms of Service other than as third-party beneficiary as contemplated below. The license granted to you in these Terms of Service is also subject to the permitted Usage Rules set forth in the App Store Terms of Service (see: //www.apple.com/legal/itunes/us/terms.html).

Similarly, if you are accessing the Service though a Google Device, you acknowledge that these Terms of Service are entered into between you and Greenvelope and, that Google ("Google";) is not a party to these Terms of Service other than as third-party beneficiary as contemplated below. The license granted to you in these Terms of Service is also subject to the permitted Usage Rules set forth in the Google Play Store Terms of Service (see: https://play.google.com/intl/en-US_us/about/play-terms/index.html).

You acknowledge that Greenvelope, and not Apple or Google, is responsible for providing the Service and Content thereof. You acknowledge that neither Apple nor Google has no obligation whatsoever to furnish any maintenance or any support Service to you with respect to the Service.

To the maximum extent permitted by applicable law, neither Apple nor Google will have no other warranty obligation whatsoever with respect to the Service.

Notwithstanding anything to the contrary herein, and subject to these Terms of Service, you acknowledge that, solely as between Apple and Greenvelope, Greenvelope, and not Apple is responsible for addressing any claims you may have relating to the Service, or your possession and/or use thereof, including, but not limited, to: (i) product liability claims; (ii) any claim that the Service fails to confirm to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

Notwithstanding anything to the contrary herein, and subject to these Terms of Service, you acknowledge that, solely as between Google and Greenvelope, Greenvelope, and not Google is responsible for addressing any claims you may have relating to the Service, or your possession and/or use thereof, including, but not limited, to: (i) product liability claims; (ii) any claim that the Service fails to confirm to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

Further, you agree that if the Service, or your possession and use of the Service, infringes on a third party's intellectual property rights, you will not hold Apple or Google responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claims.

You acknowledge and agree that Apple, Apple’s subsidiaries, Google, and Google’s subsidiaries are third-party beneficiaries of these Terms of Service, and that, upon your acceptance of these Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you as a third-party beneficiary thereof, and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you as a third-party beneficiary thereof.

MAKE IT OFFICIAL: REGISTER YOUR ACCOUNT 

In order to access certain functions and features of the Service, you are required to register with Greenvelope, including if you want to:

  • save addresses for mailings
  • write a review or user rating
  • submit a party idea
  • submit for alterations, including color change, text adjustment, custom wax seal, matching lining, etc
  • work with a designer in our custom shop
  • access your Account
  • view your upcoming events and retrieve past Greenvelope invitations
  • save and access saved information
  • view and edit your Account information
  • upload photos or video
  • purchase single or unlimited mailings;
  • send a Greenvelope card/invitation, save the date, or thank you note
  • track RSVP’s and plus one’s and send RSVP reminders
  • gather meal selections
  • set up seating charts
  • save favorite designs
  • add your own design
  • add music to your design
  • manage your mailing list, and send and track

Please note that not all of the above features bulleted above may be available at any given time and that Greenvelope may require registration for additional features that may be developed or added to the Service from time to time. Unless otherwise indicated, you do not need to register for the Service if you are simply responding to a Greenvelope invitation or browsing through the Service.

Only one free account is allowed per user. In order to register with Greenvelope you may be required to supply a valid email address, which will be used as a unique identifier for your account, along with your first name and last name. You will also be asked to set a password. You may also be asked to provide certain other information, including an image, interests and/or other requested information, at your option.

You are solely responsible for maintaining the confidentiality of your password and account. You agree not to transfer your email address or password, or lend or otherwise transfer your use of or access to the Service, to anyone else. You are also solely responsible for any and all activities that occur under your account. You may change your password, or any other account information, at any time by following instructions available on your Profile Page.

You agree to immediately notify us at support@greenvelope.com of any unauthorized use of your account or any other breach of security related to your account or the Service.

Greenvelope provides registered users with the ability to create and send online invitations for a wide variety of events for a multitude of occasions. In order to assist our registered users, we have developed a suite of invitation templates that you can customize by providing specific event information, descriptions and images. From time to time, we may also allow you to include certain widgets, registries, or polls that you can provide to your guests within the invitation user flow. Once you have created your invitation, you will then be asked to supply the physical address, email addresses or mobile phone numbers of those guests that you wish to invite using the Service. We do not share these addresses or mobile phone numbers with third parties except in extremely limited circumstances, which are described in our Privacy Notice. 

We offer you the ability to register and/or log in to our Website using Facebook, Google, or other third-party Service. These third-party Service are detailed further in our Privacy Notice. We do not control, is not responsible for, does not endorse, and fully disclaims any and all liability associated with your use of such third-party Service. You represent and warrant that you will comply with all terms and conditions associated with such third-party Service, and agree to defend and hold Greenvelope, its subsidiaries and affiliates harmless from any claim or demand, including reasonable attorneys’ fees, arising out of or relating to any such third-party Service.

You can make changes to your profile by going into the "My Account"; function and making changes directly. 

THE MESSAGE CENTER AND MY MAILINGS

The Message Center is located within the Service with an Event Host and selected invited guests. You must verify your email address before sending messages through the Message Center. Messages are unique to an Event and communications in Message Center are limited to Hosts and Guests specific to that unique Event. Messages may be directed through private chat and/or group chat. By accessing the "My Messages"; tab within the invitation, the user may create and send messages within the Service to the Event Host and selected guests as they determine. Users can initiate messaging for dissemination of both private one-on-one and group messages. Users will send and receive messages within the Service and may also opt-in to be notified by email of receipt of an in-Service message.

THE HELP CENTER

The Help Center is a feature within an invitation, or Event, that enables a user to communicate with our in-house customer support team that is available 7:30am - 5pm PST Monday through Friday via support@greenvelope.com or 888-505-2588.

PURCHASES    

Our Service allows for a number of purchasing options, including for single-mailing invitations, unlimited mailings, memberships, and even gift cards that you can add to cards!

SINGLE-MAILING PACKAGES

We offer single mailings and unlimited packages. Our single mailing packages start at up to 20 people and go up to 25,000 people. Prices for each specific package size are reflect on the Website. 

Each person (with or without email) added to the mailing list counts as 1 person. For example, "the Smith Family"; of John, Jill, Tim, and Lauren would count as 4 people. If you are unsure how many people you need, we recommend purchasing a smaller package initially as you can easily purchase additional people form within your mailing on an "as needed"; basis. You can also resent invitation or send invitations to new contacts at any time.

ANNUAL MEMBERSHIPS

Annual memberships allow you to create unlimited mailings for one year as long as each mailing is for a unique purpose. Our unlimited packages start at up to 50 people and go up to 12,500 people and are priced on a price per year basis as reflected on the Website.

Event hosts purchasing an annual unlimited membership are able to create unlimited mailings/events as long as each mailing is for a unique purposes. Memberships cannot be used to create similar mailings for the same event to avoid purchasing a larger package. 

GIFT CARDS 

You can add gift cards to your recipient cards and recipients can send gift cards to the originating senders as a form of congratulations or for any other purposes, e.g., a gift card as a wedding or baby gift. All gift card purchases a made through our third party partner, Jifiti. Since we are not affiliated with Jifiti, all questions regarding any gift card purchased must be directed to Jifiti by calling Jifiti at USA: (855) 858-0600 | EU +353-47-92953 or through Jifiti’s website: https://www.jifiti.com/contact

We are not responsible for any issues, including loss, regarding any gift card purchase. 

EVENT PLANNER PROGRAM  

Event planners can register for our Event Planner Program, which allows for planning across various client events all under one account.  If you are an event planner, please email support@greenvelope.com for more information.

REQUIREMENTS 

By making a purchase, you confirm that the entered details pertaining to your purchase are correct. Furthermore, in completing this purchase, you agree and acknowledge as follows:

  • The contact information for the recipient(s) of your purchase, including their name, email, and/or phone number (the "Contact Information";) are correct.
  • That you have provided an email address for any recipient of a gift outside of the U.S. and Canada. Providing only a telephone number for a non-U.S. and non-Canadian number may result in non-delivery of the purchased gift.
  • You empower Greenvelope to complete this purchase on your behalf as merchant of record for purposes of any credit card transaction and to act as payment processor or to employ a third party to act as payment processor, to enable this transaction with the associated retailer for your selected gift.
  • That there will be no opportunity to refund or return the purchase made on your behalf.
  • That this purchase is made for another person, identified in the associated Contact Information.
  • Greenvelope may reject an attempted transaction or purchase for any reason whatsoever, including but not limited to detection of a potentially fraudulent transaction, an apparent or actual lack of funds or credit, an inability to determine whether funds are available, inaccurate or incomplete information provided for payment processing, or any other reason at Greenvelope’s sole discretion. Greenvelope may disable a particular card or payment method if there are repeated unsuccessful purchase attempts.
  • That any individual who receives the gift as a part of the purchase process and who may access the accounts associated with the Contact Information may redeem the purchased gift. Greenvelope bears no responsibility for your input of incorrect Contact Information or redemption by others in any way.
  • Greenvelope may limit the number of purchases processed or the total monetary amount processed for a particular recipient or by a particular purchaser over any time period (e.g. per day or per week). The limits may change at any time at Greenvelope’s sole discretion.
  • Once purchased, all recourse as well as all possible redemption, use, and access to information pertaining to a gift is the responsibility of the associated retailer, whose name and terms associated with this purchase are set forth below.

TICKETS

Hosts can create and sell tickets to their events. To do so, they must create and link their own Stripe account. Stripe separately holds the money. We do not act as an agent to process payments. We do not have any transparency to your financial information nor do we collect any financial information associated with the creation of tickets to events. We do collect a flat 1% fee for the total dollar amount collected via the ticketed process. 

LICENSE TO USE THE SERVICE

Subject to your compliance with these Terms of Service, Greenvelope grants you a limited, non-exclusive, revocable, non-assignable, personal and non-transferable license to access and make personal use of theses Service and not to download (other than page caching) or modify it, or any portion of it, except with Greenvelope’s express written consent. The foregoing license does not include any resale or commercial use of the Service or its contents; any derivative use of the Service or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. The Service, or any portion thereof, may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purposes without Greenvelope’s express written consent. Use of the Service that constitutes abuse shall be determined by Greenvelope, in its sole discretion. Greenvelope reserves the right to terminate your account if Greenvelope determines you have not complied with these Terms of Service.

MATERIALS SUBMITTED THROUGH THE SERVICE

You are solely responsible for any data, text, software, sound files, images, photographs, graphics, video, messages, files, links or any other materials ("Materials";) that are transmitted, posted, or distributed by you through the Service, including, but not limited to, the contents of your email communications, information, reviews, user ratings, photos or images posted or sent by you to or through the Service. All Materials posted or sent by you, are your sole responsibility. By posting or sending Materials you represent and warrant that you own all right, title and interest to such Materials and any likenesses contained in such Materials.

Greenvelope does not control the Materials posted or sent through the Service and, as such, does not guarantee the accuracy, integrity or quality of such Materials. By using the Service you understand and agree that you may be exposed to Materials posted by other users that may be offensive, indecent or objectionable.

UNDER NO CIRCUMSTANCES WILL GREENVELOPE BE LIABLE IN ANY WAY FOR ANY MATERIALS POSTED BY ANY USER OR THIRD PARTY, INCLUDING, BUT NOT LIMITED TO, LIABILITY FOR ANY ERRORS OR OMISSIONS IN ANY MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY MATERIALS POSTED, EMAILED OR OTHERWISE TRANSMITTED VIA THE SERVICE.

You agree that if you post any Materials through the Service, you automatically grant to Greenvelope, and its successors and assigns, a non-exclusive, worldwide, royalty-free, perpetual, non-revocable license, in and to the Materials, to use, distribute, display, publicly perform, transmit, modify, publish, translate, adapt, redistribute, sublicense and reproduce such Materials to other users of the Service and to third parties with whom Greenvelope has a relationship. You also grant Greenvelope the right to authorize the downloading and printing in whole or in part of any Materials that you post to the Service.

You acknowledge and agree that (a) we reserve the right (but have no obligation) to evaluate the Materials before allowing them to be posted on or through the Service or otherwise stored in connection with the Service; and (b) we may do one or all of the following, at our sole discretion: (i) monitor the submission of Materials; (ii) alter, remove, or refuse to post or allow to be posted or stored any Materials; and/or (iii) disclose any Materials or any communication through the Service, and the circumstances surrounding the transmission thereof, to (1) any third party as permitted in Greenvelope’s Privacy Notice; (2) comply with applicable laws, (3) respond to governmental inquiries or requests, (4) comply with valid legal process, (5) protect the rights, privacy, safety or property of Greenvelope, the Service visitors or the public, (6) permit us to pursue available remedies or limit the damages that we may sustain, and/or (7) enforce these Terms of Service.

NO NOS: RESTRICTIONS ON USE OF THE SERVICE

RESTRICTION ON USE OF CONTENT 

You acknowledge that the Service may contain information, software, photos, video, text, graphics, music, sounds or other material (collectively, "Content";) that are protected by copyrights, patents, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. The Content, taken together in its entirety, is protected under U.S. copyright laws as a collective work, and we own a copyright in the selection, coordination, arrangement and enhancement of such Content.

Modification of the Content or use of the Content for any purpose other than for your use of the Service, including use of any such Content on any other website or networked computer environment, is strictly prohibited. Except as otherwise expressly authorized in writing in advance by us, you agree not to reproduce, redistribute, sell, modify, rent, lease, loan, adapt, translate, create derivative works based (whether in whole or in part) on, decompile, reverse engineer, disassemble, or otherwise reduce all or any part of the Service, including the Content.

RESTRICTIONS ON USER CONDUCT 

You are solely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("User Content";), whether or not digitally created, that you upload, post, publish or display (hereinafter, "post";) or email or send via SMS, MMS, WhatsApp, Facebook Messenger, email, shareable link or other form of text message or otherwise transmit or use via the Service. Without limiting the generality of the foregoing, you expressly agree to not use the Service to:

  • Post, transmit, or otherwise make available, through or in connection with the Service anything that is or may be:
    • unlawful, threatening, harassing, degrading, abusive, hateful or intimidating;
    • defamatory; libelous or invasive of another's privacy;
    • fraudulent or tortious;
    • vulgar, obscene, indecent, sexually explicit, pornographic or otherwise objectionable;
    • protected by copyright, trademark, trade secret, right of publicity or other proprietary right without the express prior consent of the owner of such right; or
    • a virus, worm, Trojan Horse, Easter egg, time bomb, spyware, cancelbot, or other computer code, file, or program that is harmful or invasive or that may or is intended to damage or hijack the operation of, or to monitor the use of, any hardware, software or equipment
    • an unsolicited or unauthorized advertising, promotional material, "junk mail,"; "spam,"; "chain letter,"; "pyramid scheme,"; survey, contest, or investment opportunity;
    • any other form of solicitation, or use any distribution lists including any person who has not given specific permission to be included in such a process (commercial or otherwise);
    • Material that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
  • Re-sell any part of Greenvelope’s Service without express written consent of Greenvelope.
  • Use the Service to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others, including without limitation others' privacy rights or rights of publicity, or harvest or collect personally identifiable information, including email addresses, about users of the Service.
  • Harm minors in any way.
  • Impersonate any person or entity, including without limitation any of our officials, forum leaders, guides or hosts; falsely state or otherwise misrepresent your affiliation with any person or entity; or express or imply that we endorse any statement you make.
  • Interfere with or disrupt the operation of the Service or the servers or networks used to make the Service available; or violate any requirements, procedures, policies or regulations of such networks.
  • Clone or otherwise create a mailing/event to circumvent purchasing a larger package.
  • Use the Service across multiple clients, i.e., event planners must sign up for our Event Planner Program, which allows each event planner client to manage multiple client mailings under one account. 
  • Create or attempt to create more than one free trial accounts.
  • Restrict or inhibit any other person from using the Service, including without limitation by hacking or defacing any portion of the Service.
  • Use, download, or otherwise copy, or provide (whether or not for a fee) to a person or entity that is not a user of the Service any directory of Greenvelope's users or usage information or any portion thereof other than in the context of your use of the Service as permitted under these Terms of Service.
  • Use the Service to distribute or otherwise publish or post any material containing any solicitation of funds, promotion, advertising, or solicitation for goods or Service without our express prior written consent; or use the Service in a commercial manner, unless otherwise expressly allowed by Greenvelope.
  • Use the Service to distribute or otherwise publish or post any material that is pornographic, obscene, contains hate speech, is racist, promotes or encourages violence, is illegal or promotes illegal behavior, violates anyone’s intellectual property rights, or is otherwise offensive or inappropriate as determined in Greenvelope’s sole discretion.
  • Reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes, any portion of, use of or access to the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems or networks connected to the Service, through password mining or any other means.
  • Remove any copyright, trademark or other proprietary rights notice from the Service or Content or Materials originating from the Service.
  • Frame or mirror any part of the Service or Software without our express prior written consent; or forge headers or otherwise manipulate identifiers in order to disguise the origin of any Materials transmitted through the Service.
  • Create a database by systematically downloading and storing content from the Service.
  • Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law.
  • Use any robot, spider, site search/retrieval application or other manual or automatic device to retrieve, index, "scrape,"; "data mine"; or in any way gather Content or Materials from the Service or reproduce or circumvent the navigational structure or presentation of the Service.
  • Use the Service to collect any sensitive personal information, such as health information (including "protected health information" as defined in 45 C.F.R. §160.103), social security numbers, financial information, payment card numbers, driver's license numbers, and passport numbers, unless otherwise permitted by these Terms or we have consented to the collection of the information in writing.
  • Engage in any other conduct which, in Greenvelope’s sole discretion, is considered inappropriate, unauthorized or objectionable.

You will not post any User Content that you did not create or that you do not own all right, title and interest in and to, including, without limitation, all copyright and rights of publicity contained therein. By posting any User Content you hereby grant and will grant Greenvelope and its affiliated companies and agents a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicenseable, perpetual, irrevocable license to copy, display, transmit, distribute, store, modify and otherwise use your User Content in connection with the operation of the Service or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed. Except as otherwise required by law, Greenvelope and its designees may, but have no obligation to, remove, edit, block, and/or monitor User Content at any time for any reason, including activity which, in its sole judgment: violates the Terms of Service; violates applicable laws, rules, or regulations; is abusive, disruptive, offensive, illegal, or otherwise objectionable; or violates the rights of, or harms or threatens the safety of Users of the Service. 

You acknowledge and agree that Greenvelope may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce the Terms; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Greenvelope, its Users and the public. You understand that the technical processing and transmission of the Service, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You acknowledge and agree that upon a request from a Guest, you will remove that Guest’s name from a public guest list, or we will remove it, if the Guest emails support@greenvelope.com.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions";), provided by you to Greenvelope are non-confidential and Greenvelope shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you. Any Submissions you submit to us will be considered non-confidential and non-proprietary to you. By submitting Submissions to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, publish, and exploit those ideas and materials for any purpose, with or without your name, without compensation to you. We may collect testimonials, ratings, and reviews about the Services and Website, and, if you are a host, your content and events. In order to permit us to protect the quality of our products and Service, you hereby consent to our employees and representatives being able to access your account and records for any reason, in our sole discretion. We also reserve the right, but do not assume the responsibility, to monitor or review your conduct while using the Service. Your use of the Service is subject to all applicable local, state, national and international laws and regulations.

EMAIL COMMUNICATIONS

You may send cards via email or in a text message. You, or anyone receiving a card through the Service, may opt out of receiving marketing or other communications from us at any time by following the opt-out link or other unsubscribe instructions provided in any email message received, or by contacting us using the contact information provided below. If you wish to opt out by sending us an email to the address provided below, please include "Opt-Out"; in the email’s subject line and include your name and the email address you used to sign up for communications in the body of the email. Note that, even if you opt out of receiving marketing communications from us, we will still send you order confirmations and other non-marketing related messages.

SMS/TEXT COMMUNICATIONS

Your interactions with any organizations and/or individuals found on or through the Service, including promotion and/or attendance at any event, emails, SMS, MMS or other form of text message ("Texts";) and other communications, payment and delivery of goods or Service, posting of content, and any other terms, conditions, warranties or representations associated with such interactions, are solely between you and that organizations and/or individuals. By choosing to communicate with Guests by Texts, and providing phone numbers, you represent and warrant that you have the Guests’ prior express consent, permission or invitation, to communicate with those telephone numbers by Texts, including by sending such communications through our Service, and that you have taken all necessary steps to comply with applicable national, supranational, federal and state laws before sending any Texts promoting the sale, investment, purchase or rental of any goods, Service or property, including the Telephone Consumer Protection Act and state law equivalents. Additionally, you should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction or communication with any of these third parties or attending any event sent through the Service or publicly distributed on the web or otherwise distributed. You agree that Greenvelope shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such interactions or attendance at any such event.

Every paid Greenvelope account includes a maximum of 500 text messages. This limit can be increased for an additional fee for 250 more text message credits for typical use cases.

Greenvelope currently only allows purchasing 1,000 SMS messages per month to ensure our delivery reputation stays in good standing with partner carriers. We recommend sending larger blasts via email instead. Please contact support@greenvelope.com with questions. 

 In addition, standard message and data rates or other charges may apply from the recipient’s mobile carrier. 

To stop receiving text messages at any time, text STOP in response to any message. For help, text HELP in response to any message or email us at support@greenvelope.com.

SHARING AN INDIVIDUAL RECIPIENT LINK

All recipient links on a Host’s mailing list are personalized and intended only for one contact. Sharing or forwarding a recipient's personalized card excessively may result in deactivation of that particular link. In cases where it appears a personalized link has been shared excessively, you will have 24 hours to remedy the situation by converting this personalized link into a shared/public URL. Greenvelope will email you directions on how to make this conversion if this situation arise.

OPT IN MAILING LISTS

Event Hosts sending mailings/events that are sales/marketing in nature, may only send to email addresses that have specifically opted in to receive sales/marketing communications from the Event Host. It is not permissible to send to a contact list that has been purchased, rented, or acquired in any manner not consistent with the recipient having opted in to receive communications. Failure to adhere to this guideline can result suspension of your account without refund.

Greenvelope does not tolerate unsolicited/spam messages being sent from our system. In the event that cards/messages sent from your account generate a high amount of spam complaints reported to Greenvelope by email providers (AOL, Google, Yahoo, Hotmail, etc.) or text message providers/phone carriers, Greenvelope reserves the right to suspend your account without refund.

THAT’S NOT US: LINKS TO THIRD PARTY SITES

The Service may provide, or third parties may provide, links to other Internet websites or resources. Because we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, Service or other materials (collectively, "Third Party Materials";) on or available from such sites or resources.

You acknowledge that such external sites usually have their own terms and conditions, including privacy policies, over which Greenvelope has no control and which will govern your rights and obligations with respect to the use of those such third party’s product, Service or websites. 

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS"; AND "AS AVAILABLE"; BASIS. GREENVELOPE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT AS TO THE OPERATION OF THE SERVICE, OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED IN THE SERVICE. GREENVELOPE MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. GREENVELOPE MAKES NO WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SERVICE WILL BE CORRECTED. YOU ACKNOWLEDGE THAT GREENVELOPE DOES NOT CONTROL CONTENT, INFORMATION, PRODUCTS OR SERVICE OFFERED BY ADVERTISERS, THIRD PARTIES OR OTHER USERS ON OR THROUGH THE SERVICE, INCLUDING, BUT NOT LIMITED TO, INFORMATION, PRODUCTS, OR SERVICE PROVIDED BY LICENSE TO GREENVELOPE FROM THIRD PARTIES OR MATERIALS PROVIDED BY OTHER USERS. GREENVELOPE ASSUMES NO RESPONSIBILITY FOR AND MAKES NO WARRANTY OR REPRESENTATION AS TO THE ACCURACY, CURRENCY, COMPLETENESS, RELIABILITY, USEFULNESS OR DECENCY OF THE SERVICE, OR CONTENT OR PRODUCTS DISTRIBUTED OR MADE AVAILABLE BY THIRD PARTIES (INCLUDING BUT NOT LIMITED TO ADVERTISERS AND USERS) THROUGH THE SERVICE. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR DEVICE, OR LOSS OF DATA THAT RESULTS FROM YOUR ATTEMPT TO DOWNLOAD ANY MATERIAL FROM THE SERVICE.

LIMITATION OF LIABILITY

Greenvelope is not affiliated with any Event Host and solely acts an intermediary between the Event Host and the Purchaser or Guest. 

These Terms of Service does not create any obligation on the part of Greenvelope to sponsor, support, advertise, promote, or otherwise perform any action on behalf of the Event Host with respect to, or in furtherance of, any Event. 

Greenvelope shall have no liability with regard to any Event for which it provides ticketing or invitation and attendance management Service, except as specifically set forth in these Terms of Service. Greenvelope’s total liability under these Terms of Service shall not exceed the sum of all amounts actually received by it from Purchasers and Event Hosts.

RELEASE 

By using the Service, to send an event invitation via email or Text sent through the Website, or distributed by you off-the-site through a third party service via a Share Link or otherwise, and/or attending any such event, you agree to release, discharge and hold harmless Greenvelope and its subsidiaries and affiliates, from any and all losses, damages, rights, claims, actions of any kind and injury (including death) arising out of or relating to the Service or any act or omission by any person, including without limitation, any dispute between you and any other person, any content posted on the Website and your attendance at any event posted on, or promoted through, the Service or publicly distributed on the web. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."; This release includes, without limitation, any claim resulting from delay and the criminal acts of others.

INDEMNIFICATION

You agree to forever indemnify, defend, and hold harmless Greenvelope, its affiliates, directors, members, managers, officers, employees and agents, and its contractors, consultants or customers, from and against all claims, suits, damages, costs or demands, losses, liabilities, or expenses of any kind, including, but not limited to, reasonable attorneys’ fees and costs, arising from, or in connection with, or which may have been caused, or are alleged to have been caused, directly or indirectly, by: (i) your use of the Service, including but not limited to, all content therein and any products or Service obtained by you through the Service; (ii) the infringement by you (or other user of the Service using your account) of any intellectual property or other right of any person or entity; (iii) a violation of these Terms of Service or the Privacy Notice by you; (iv) any act of omission or commission, negligent or otherwise, of Event Host or by Event Host’s failure to comply with the terms of these Terms of Service; (v) your violation of any applicable law or regulation; (vi) any requirement of law, rule or regulation, including any rule, regulation or policy promulgated by any venue, and including without limitation, the representations and warranties relating contained herein (all of which are collectively "Claims and Losses";). You agree to cooperate as required by Greenvelope in the defense of any Claims and Losses. Notwithstanding the foregoing, Greenvelope retains the exclusive right to settle, compromises and pay any and all Claims and Losses, and reserves the right to assume the defense and control of any Claims and Losses. The parties agree that this indemnification obligation shall survive until any claim, action or cause of action respecting the above is fully and finally barred by the applicable statute of limitation. 

TERMINATION AND MODIFICATION OF THE SERVICE

You agree that we, in our sole discretion, may terminate your password, account, or use of the Service, and remove and discard any Materials within the Service, for any reason, at any time, without notice to you. We will also terminate your account upon receiving reliable information involving your violation of any law, and will cooperate with law enforcement agencies on such matters. We may also, in our sole discretion and at any time, discontinue providing the Service, or any part thereof, with or without notice. You agree that we shall not be liable to you or any third party for any termination of your access to the Service.

We reserve the right, at any time and from time to time, temporarily or permanently, in whole or in part, to: (a) modify or discontinue the Service, including, but not limited to (i) restricting the time the Service are available, (ii) restricting the amount of use of the Service permitted, and (iii) restricting or terminating any user’s right to use the Service, with or without notice; (b) charge fees in connection with the use of the Service; (c) modify and/or waive any fees charged in connection with the Service; and/or (d) offer opportunities to some or all users of the Service. You agree that neither we nor any of our affiliates, shall be liable to you or to any third party for any modification, suspension or discontinuance of the Service, in whole or in part, or of any service, content or feature offered through the Service.

INTELLECTUAL PROPERTY RIGHTS

Service content, software and trademarks: You acknowledge and agree that the Service may contain content ("Service Content";) that is protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by Greenvelope, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Site. Provided that you are eligible for use of the Service, you are granted a limited license to access and use the Site and the Service Content and to download or print a copy of any portion of the Service Content to which you have properly gained access solely for your personal, non-commercial use, provided that you keep all copyright or other proprietary notices intact. Such license is subject to these Terms and does not permit use of any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the Site or the Service Content other than as specifically authorized herein, without the prior written permission of Greenvelope, is strictly prohibited and will terminate the license granted herein. The technology and software underlying the Service is the property of Greenvelope, our affiliates and our partners (the "Software";). Except to the extent permitted by the law notwithstanding any contractual prohibition, you agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved.

The "Greenvelope"; name and logo are trademarks and service marks of Greenvelope (collectively the "Greenvelope Trademarks";). Other company, product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Greenvelope. Nothing in these Terms or the Service should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Greenvelope Trademarks displayed on the Service, without our prior written permission in each instance. All goodwill generated from the use of Greenvelope Trademarks will inure to our exclusive benefit.

Third party material: To the fullest extent permitted by law, Greenvelope will not be liable in any way for any content posted by third-parties or at the direction of Users, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed or otherwise transmitted via the Service. You acknowledge that Greenvelope does not pre-screen content, but that Greenvelope and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, Greenvelope and its designees shall have the right to remove any content that violates the Terms or is deemed by Greenvelope, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

User content posted on the Site: You are solely responsible for the content and other materials you post on or through the Service or the Site or transmit to or share with other users or recipients (collectively, "User Content";). You will not post any User Content that you did not create or that you do not own all right, title and interest in and to, including, without limitation, all copyright and rights of publicity contained therein. By posting any User Content you hereby grant and will grant Greenvelope and its affiliated companies and agents a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicenseable, perpetual, irrevocable license to copy, display, transmit, distribute, store, modify and otherwise use your User Content in connection with the operation of the Service or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed. Except as otherwise required by law, Greenvelope and its designees may, but have no obligation to, remove, edit, block, and/or monitor User Content at any time for any reason, including activity which, in its sole judgment: violates the Terms; violates applicable laws, rules, or regulations; is abusive, disruptive, offensive, illegal, or otherwise objectionable; or violates the rights of, or harms or threatens the safety of Users of the Service.

You acknowledge and agree that Greenvelope may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce the Terms; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Greenvelope, its Users and the public. You understand that the technical processing and transmission of the Service, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You acknowledge and agree that upon a request from a Guest, you will remove that Guest’s name from a public guest list on the Event Page, or Customer Support will remove it, if the Guest emails support@greenvelope.com.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions";), provided by you to Greenvelope are non-confidential and Greenvelope shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

COPYRIGHT AND COPYRIGHT NOTICES

We respect the intellectual property of others, and we ask our users to do the same. We may, in appropriate circumstances, and at our discretion, terminate the accounts of users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • a description of the copyrighted work that you claim has been infringed;
  • a description of where the material that you claim is infringing is located on the site;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

It is often difficult to determine if your copyright has been infringed. Greenvelope may elect to not respond to notices that do not substantially comply with all of the foregoing requirements, and Greenvelope may elect to remove allegedly infringing material that comes to its attention via notices that do not substantially comply with the copyright law requirements. 

JURISDICTION

The Service are controlled and operated by Greenvelope from the United States, and are not intended to subject Greenvelope to the laws or jurisdiction of any territory other than that of the United States. Greenvelope does not represent or warrant that the Service or any part thereof is appropriate or available for use in any particular jurisdiction. Those who choose to access the Service do so on their own initiative and at their own risk, and are responsible for complying with all local laws, rules and regulations. We may limit the Service’ availability, in whole or in part, to any person, geographic area or jurisdiction we choose, at any time and in our sole discretion.

NOTICES

Greenvelope may give notice to you by email, a posting on the Service, or other reasonable means. You must give notice to Greenvelope in writing via email or as otherwise expressly provided by Greenvelope. Greenvelope may broadcast, distribute or display notices or messages through the Service to inform you of changes to these Terms of Service, the Service, the Privacy Notice or other matters of importance. Such broadcast, distributions or displays of information shall constitute notice to you.

GOVERNING LAW AND RELATED TERMS

These Terms of Service do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and Greenvelope. These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these Terms of Service shall be filed only in the state or federal courts located in King County in the State of Washington and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action and you waive any jurisdictional, venue or inconvenient forum objections to such courts.

You agree that any claim or cause of action arising out of your use of the Service or these Terms of Service must be initiated within one (1) year after such claim or cause of action arose (two (2) years for residents of Texas) or it shall forever be barred, notwithstanding any statutes of limitations or other law to the contrary. Within this period, any failure by Greenvelope to enforce or exercise any provisions of these Terms of Service or related right shall not constitute a waiver of that right or provision.

If any provision of these Terms of Service shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions.

Greenvelope may assign these Terms of Service, in whole or in part, at any time with or without notice to you. You may not assign, transfer or sublicense these Terms of Service or any or all of your rights or obligations under these Terms of Service without Greenvelope's express prior written consent. These Terms of Service will inure to the benefit of Greenvelope’s successors, assigns and licensees.

No waiver by either party of any breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default.

Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof.

This is the entire agreement between you and Greenvelope relating to the subject matter herein and may not be modified by you.

Software related to or made available by the Service may be subject to export controls of the U.S.A. No software from the Service may be downloaded, exported, or re-exported (i) into (or to a national or resident of) any country or other jurisdiction to which the U.S.A. has embargoed goods, software, technology or Service (which, as of the effective date of these Terms of Service, includes Cuba, North Korea, Iran, Sudan, and Syria), or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders, or (iii) to anyone on the U.S. Department of Commerce’s Bureau of Industry and Security Entities List as published in the Export Administration Regulations (including entities engaged in weapons of mass destruction proliferation in various countries and persons and entities that are suspected of diverting U.S. origin items to embargoed countries or terrorist end-uses). You are responsible for complying with all trade regulations and laws both foreign and domestic. Except as authorized by law, you agree and warrant not to export or re-export the software to any county, or to any person, entity, or end-user subject to U.S. export controls.

Without limitation, you agree that a printed version of these Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

MANDATORY ARBITRATION AND CLASS ACTION WAIVER

IF YOU ARE A U.S. RESIDENT, YOU ALSO AGREE TO THE FOLLOWING MANDATORY ARBITRATION PROVISIONS:

Agreement to Arbitrate. All disputes arising out of or relating to your use of the Service, any purchase you make, any information you provide, these Terms of Service (including the formation, performance or alleged breach), and your use of the Service will be exclusively resolved under confidential binding arbitration in accordance with the Rules of the American Arbitration Association ("AAA";), including the AAA’s Supplementary Procedures for Consumer-Related Disputes (collectively, the "AAA Rules";) then in effect at the time of the dispute.

The AAA Rules are available at www.adr.org or by calling 1-800-778-7879. If you initiate arbitration, we will promptly reimburse you for any standard filing fee that may have been required under AAA Rules once you have notified us in writing and provided a copy of the arbitration proceedings. However, if Greenvelope is the prevailing party in the arbitration, applicable law may allow the arbitrator to award attorneys’ fees and costs to Greenvelope. If for any reason the AAA is unavailable, the parties shall mutually select another arbitration forum. The arbitration will be conducted in the King County, Washington but may proceed telephonically or via videoconference if the claimant so chooses.

The arbitrator’s award will be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Service may be joined to an arbitration involving any other party subject to these Terms of Service, whether through class arbitration proceedings or otherwise. Notwithstanding the foregoing, we will have the right to seek injunctive or other equitable relief in state or federal court located to enforce these Terms of Service or prevent an infringement of a third party’s rights. In the event equitable relief is sought, each party hereby irrevocably submits to the personal jurisdiction of such court.

NO CLASS ACTIONS. Any disputes arising out of or relating to your use of the Service, any information you provide via the Service, or these Terms of Service (including their formation, performance or alleged breach) shall be submitted individually by you, and shall not be subject to any class action or representative status. By entering into this agreement, you hereby irrevocably waive any right you may have to join claims with those of others or participate as a member of a class of claimants with respect to any claim submitted to arbitration. The parties to this arbitration agreement acknowledge that this class action waiver is material and essential to the arbitration of any disputes between the parties and is nonseverable from the agreement to arbitrate claims. If any portion of this class action waiver is limited, voided, or cannot be enforced, then the parties’ agreement to arbitrate shall be null and void. You understand that by agreeing to this class action waiver, you may only bring claims against us in an individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

YOU UNDERSTAND THAT YOU WOULD HAVE HAD A RIGHT TO LITIGATE THROUGH A COURT, TO HAVE A JUDGE OR JURY DECIDE YOUR CASE AND TO BE PARTY TO A CLASS OR REPRESENTATIVE ACTION. HOWEVER, YOU UNDERSTAND AND AGREE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY AND ONLY THROUGH ARBITRATION.

Arbitration Opt-out. You shall have thirty (30) days to opt-out of this arbitration agreement beginning on the date that you (i) register your account, or (ii) if already registered, from the first time you use or log in to the Service following the publication of these Terms of Service. To opt out of arbitration you must email us at support@greenvelope.com with the subject line "ARBITRATION OPT-OUT";. If more than thirty (30) days have passed, you are not eligible to opt out of arbitration.

In the event that the immediately preceding paragraph is deemed to be unenforceable, the parties hereby agree as follows: Any litigation between the parties will be commenced and maintained only in the courts of King County, Washington, or in the United States District Court for the Western District of Washington in Seattle, Washington, and each of the parties consents to the jurisdiction of such courts (and of the appropriate appellate courts) in any such action or proceeding and waives any objection to venue laid therein, provided, however, that Greenvelope may seek to obtain injunctive relief in any court that Greenvelope may select. Process in any action or proceeding referred to in the preceding sentence may be served on any party anywhere in the world.

CALIFORNIA RESIDENT COMPLAINTS

Some events may carry inherent risk and by participating in those events, you choose to assume those risk knowingly and voluntarily, including, but not limited to, the risk of bodily injury, illness, disability, or death, and you freely and willingly assume all such risks by participating to participate in those events. 

ADDITIONAL TERMS FROM THIRD PARTY PLATFORM PROVIDERS 

We may offer our Apps through the Apple App Store, the Google Play Store, or other distribution channels ("Distribution Channels";). If you obtain any such App through a Distribution Channel, you may be subject to additional terms of the Distribution Channel. These Terms are between you and us only, and not with the Distribution Channel. To the extent that you utilize any other third-party products and services in connection with your use of the Service, you agree to comply with all applicable terms of any agreement for such third-party products and services.

Apple-Enabled Software Applications: With respect to Apps made available through Apple Inc. ("Apple";, and such Apps, "Apple-Enabled Software";), in addition to the other terms and conditions set forth in this Agreement, the following terms and conditions apply:

Greenvelope and you acknowledge that these Terms are concluded between Greenvelope and you only, and not with Apple, and that as between Greenvelope and Apple, Greenvelope, not Apple, is solely responsible for the Apple- Enabled Software and the content thereof.

You may not use the Apple-Enabled Software in any manner that is in violation of or inconsistent with the usage rules set forth for Apple-Enabled Software in, or otherwise be in conflict with, the Apple Media Services Terms and Conditions (the "Apple App Store Terms of Service";).

Your license to use the Apple-Enabled Software is limited to a non-transferable license to use the Apple-Enabled Software on an iOS product, as applicable, that you own or control, as permitted by the usage rules set forth in the Apple App Store Terms of Service, except that such Apple-Enabled Software may be accessed and used by other accounts associated with the purchaser via Apple’s Family Sharing or volume purchasing programs.

Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Apple-Enabled Software.

Apple is not responsible for any product warranties, whether express or implied by law. In the event of any failure of the Apple-Enabled Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Apple-Enabled Software to you, if any; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apple-Enabled Software, or any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty, which will be Greenvelope’s sole responsibility, to the extent it cannot be disclaimed under applicable law.

Greenvelope and you acknowledge that Greenvelope, not Apple, is responsible for addressing any claims of you or any third party relating to the Apple-Enabled Software or your possession and/or use of that Apple-Enabled Software, including, but not limited to: (i) product liability claims; (ii) any claim that the Apple-Enabled Software fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

In the event of any third-party claim that the Apple-Enabled Software or the end-user’s possession and use of that Apple-Enabled Software infringes that third party’s intellectual property rights, as between Greenvelope and Apple, Greenvelope, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting"; country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

If you have any questions, complaints or claims with respect to the Apple- Enabled Software, they should be directed to Greenvelope at the contact information listed in these Terms.

You must comply with applicable third-party terms of agreement when using the Apple-Enabled Software, e.g., your wireless data service agreement.

Greenvelope and you acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms of Service with respect to any Apple-Enabled Software, and that, upon your acceptance of the terms and conditions of these Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you with respect to the Apple-Enabled Software as a third party beneficiary thereof.

Google-Sourced Software Applications: The following applies to any App you download from the Google Play Store ("Google-Sourced Software";): (a) you acknowledge that these Terms are between you and Greenvelope only, and not with Google, Inc. ("Google";); (b) your use of Google-Sourced Software must comply with Google’s then-current Google Play Terms of Service; (c) Google is only a provider of Google Play where you obtained the Google-Sourced Software; (d) Greenvelope, and not Google, is solely responsible for Greenvelope’s Google-Sourced Software; (e) Google has no obligation or liability to you with respect to Google-Sourced Software or these Terms; and (f) you acknowledge and agree that Google is a third-party beneficiary to these Terms as it relates to Greenvelope’s Google-Sourced Software.

THE FINE FINE PRINT 

Waiver. Any failure on the part of any Party to comply with any of its obligations, agreements or conditions hereunder may be waived by any other Party to whom such compliance is owed. No waiver of any provision of these Terms of Service shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver.

Assignment. Neither these Terms of Service nor any rights hereunder shall be assignable by either party hereto without the written consent of the other party. Any such assignment in violation of this provision shall be void and of no force or effect.

Binding Effect. These Terms of Service shall be binding upon and inure to the benefit of each of the parties and their respective heirs, legal representatives, executors, administrators, successors and permitted assigns.

Cumulative Remedies. The rights and remedies of the parties set forth herein are cumulative and not alternative, and each party shall have all other rights and remedies not inconsistent with these Terms of Service as provided by law or in equity.

Headings. The section and other headings in these Terms of Service are inserted solely as a matter of convenience and for reference, and are not a part of these Terms of Service.

Entire Agreement. These Terms of Service, and the other documents linked herein, including the Pricing Schedule and the Privacy Notice, contain and constitute the entire agreement between you and Greenvelope, and supersede and cancel any prior agreements, representations, warranties, or communications, whether oral or written, between you and Greenvelope relating to the transactions contemplated by these Terms of Service and constitute a binding and enforceable agreement between you and Greenvelope. In the event of any conflict or inconsistency between any of these Terms of Service, the Privacy Notice, and the Pricing Schedule, these Terms of Service shall control, following by the Privacy Notice, then the Pricing Schedule.

Severability. The provisions of these Terms of Service are severable and the invalidity of one or more of the provisions herein shall not have any effect upon the validity or enforceability of any other provision.

Consent to Conduct Business Electronically. The parties may use and rely upon electronic records and electronic signatures for execution and delivery of these Terms of Service and any other agreement, understandings, notices, disclosures or other documents, communications or information of any type sent or received in accordance with these Terms of Service.

Disclaimer of Warranties. You understand and acknowledge that whether you acting as an Event Host, Purchaser, Guest or Website viewer that Greenvelope provides all Service on an "as is"; and "where is"; basis, and Greenvelope makes no warranty or representation regarding, and assumes no responsibility for, the timeliness, accurate transmission, or retention of any communication effect through its website or otherwise. Greenvelope disclaims all liability for, and makes no representation or warranty regarding, the availability of its website from any region or for any user. Greenvelope shall not be obligated to perform any service required to be performed by it under these Terms of Service in the event that such performance is made impossible or impractical by any internet outage, delay, unauthorized access, act of God, or other contingency outside of Greenvelope’s control.

Amendment. These Terms of Service may not be amended, supplemented or otherwise modified except by a written agreement executed by both parties.

Modifications to these Terms of Service. We reserve the right to amend these Terms of Service at our sole discretion and any modifications shall be effective immediately upon posting. We will announce any such change by posting the revised draft of these Terms of Service on the Service. The Dictionary

Our products and Service provide hosts with online tools to design and distribute cards with features to facilitate and manage events ("Host"; or "Sender";), and provide guests with ability to communicate their response and utilize Service to participate in the event ("Guest"; or "Receiver";). All Hosts, Guests and browsers who access or interact with the Website are considered users of the Service ("Users"; or "you";). An event or service for which invitations are issued is an "Event";.

WHAT INFORMATION WE COLLECT

We collect different types of information about you depending out hour you interact and use the Service.

ALL USERS

For all Users, including those who just browse the Service to browse our amazing card and invitation designs, get party ideas, read our blog, or just look at other features of the Service, then we collection information about you such as your IP address and other device information about your Device.

However, when you submit a request through the Service, you may provide and we may collect your name, email address or other contact information.

In addition, when you interact with our pages on social media platforms, such as Facebook, Instagram, and Twitter, you or the platforms may provide us with information through the platform.

ACCOUNT HOLDERS, HOSTS, AND SENDERS

When you register for an account or engage our Service, you voluntarily give us certain personal data, including your name, zip code, email address, and username. If you register for an account by logging in using your social media account (including Facebook or Google), we receive information from these accounts according to your settings and the privacy policies and Terms of Use of the social media platforms. Please check those policies and terms to understand the privacy practices of those platforms.

When you use the Service, you may provide event-related personal data including your name, email address, phone number, address book, messages with Guests, photos, gifs, videos, graphics or other content (collectively "User Content";).

If you make a purchase, one or more of our payment service providers will collect from you payment information (including payment card number, security code associated with the card, expiration date, zip code and country).

We will collect and store a history of events you have created, sent and received in your account for future reference. This may include information from Event and Manage Pages, which contain relevant event information, User Content, and Guest lists. Any Product order history will be stored in your account.

GUESTS AND RECEIVERS

If you click on an invitation link and voluntarily give us your personal data, such as your name and email address, your name will be added to the Host’s Guest list, which may be public.

If you do not have a registered account, Greenvelope may store the data associated with your email address, telephone number or other identifier. If you register for Greenvelope account in the future, we will populate your event history in your account dashboard.

When you respond to an event through the Service, you may voluntarily provide personal data when messaging the Host and other Guests, or posting publicly on the Event Page. This personal data may include photos, gifs, videos, or other User Content.

INFORMATION ABOUT OTHERS

We may also collect and store information about other people that you provide to us when you use our Service, including (without limitation) email address, phone number, and physical address. So, for example, if you use our Service to send other people a gift, information that may interest them, invitations or correspondence, or other communications through our Service, we may store and use the information you provide to us. We use the information you provide about others in several ways, including (a) to allow people to respond to and comment on your invitation; (b) to send reminders and other event information; (c) to display your guests’ email address or other information to other guests of the same event; (d) to send post-event communications and promotional emails; (e) to provide certain Service through our Service; and (f) to provide to third parties under some circumstances.

How We Collect Information

We collect several different types of information from you when you use our Service or about a Guest when a Host ads them to an Event invitation list. The information received through our Service may be sent to servers located in the United States and other countries around the world. You are not required to provide us with any information, but if you do not provide us with certain information, you may be unable to access parts or features of the Service.

INFORMATION YOU PROVIDE TO US

We collect and store information you enter on our Service or that is provided to us in some other manner. This includes identification information, such as your full name, mailing address (e.g., your event location), email address, images, telephone number, and, if you transact business with us, financial information such as your payment method (credit card number, type, expiration date or other financial information, which is collected and stored by a third-party payment processor and not by us). During and after the registration process, we may also request information about your interests and activities, your gender, your age, your location (such as ZIP code and/or country), other demographic or profile information, or we may ask you to complete a survey or send us a review. Additionally, we may collect and store any information you provide while using any comment or chat features.

We may collect financial information, including payment card number, in order to provide the Service and process an order you may have submitted.

For instance, the most frequent piece of information Greenvelope receives under this section is Guest email addresses or cell phone numbers that are provided by Hosts. Other examples of information we may receive include but are not limited to: updated delivery and address information, purchase history, and additional demographic and behavioral information. We may combine information collected from other sources with the other information we collected directly from and about you and use such combined information as provided in this Privacy Notice.

MOBILE DEVICES

We may receive information from your mobile devices when you visit our Service, such as identifiers for advertising ("IDFA";) and geographic or geolocation information. If you choose to turn off identifiers such as IDFA or locational tracking on your mobile device, please note that you may not be able to use some of the interactive features offered through our Service.

TARGETED ADVERTISING

We may allow our authorized service providers, advertising companies, and ad networks, to display advertisements on our Service and/or use tracking technologies to collect information about users who view or interact with their advertisements or use the Service. We DO NOT send or allow any of our third-party partners send any marketing emails to your guests/recipients. Where required by law, we will only send Users marketing emails with their consent. Where required by law, if you choose to subscribe to our marketing and advertising, we process your personal data based on your consent, which you may withdraw at any time.

If you do not want Greenvelope to continue sending you communications such as newsletters or announcements, you may opt out of receiving such communications by following the opt-out instructions that will be included in footer of the emails that we send you.

How We Share Your Personal Information

We will not sell, distribute, lease or otherwise share any information that we collect, including personal information that can be used to identify you as a natural person. 

First, we do share personal data and other information internally within Greenvelope and our affiliate entities that are under common ownership and control of Greenvelope. 

We may also disclose personal information and other information as follows:

  • Other Users.  User and Guests are invited to the same events and may be able to view information about the event, including RSVP information, messages between you and Guests about the Event, etc.
  • Service Providers. We may share your personal data with third party companies and individuals that provide Service and products on our behalf or help us operate our Service and provide our Products (such as customer support, hosting, analytics, email delivery, marketing, advertising measurement, and database management Service).

  • Business partners and advertisers. We may disclose information to advertisers and to the businesses that we partner. Additionally, when you elect to engage in a particular merchant’s offer or program, you authorize us to provide your email address and other information to that merchant. We may also disclose information about you to third parties for targeted advertising, research, licensing and/or marketing purposes. These activities may be considered the "sale"; or sharing/processing of "personal information"; under applicable data privacy law. We may de-identify information we collect so that it can no longer reasonably identify you or your device, or we may collect information that is already in de-identified form. How Do We Protect Your Information

We take a variety of security measures (including physical, electronic and procedural measures) intended to help safeguard your information from unauthorized access and disclosure. For example, only authorized employees, contractors, and service providers are permitted to access information, and they may do so only for permitted business functions. Therefore, although we take steps to secure your information, we do not promise, and you should not expect, that your information, or searches, or other information will always remain secure. Please be advised that whenever you voluntarily disclose information on publicly-viewable web pages, that information will be publicly available and can be collected and used by others. Please note that in certain circumstances, we may not be able to completely remove your information from our systems. For example, we may retain your information for legitimate business purposes, if it may be necessary to prevent fraud or future abuse, for account recovery purposes, if required by law or as retained in our data backup systems or cached or archived pages, or where the burden or expense of accommodating your request would, in our good faith judgment, be disproportionate to the risks to your privacy, or where the rights of others may be violated. All retained personal information will continue to be subject to the terms of the Privacy Notice to which the User has previously agreed. Personal data will be retained only for as long as necessary for Greenvelope to be able to response to inquiries about prior account activity and audits related to prior purchases.

LIMIT ONLINE TRACKING

There are a number of ways to limit online tracking, which we have summarized below:

Business Users

If you are using the Service on behalf of a business, you acknowledge and agree that you are responsible for providing any notices and obtaining any consents necessary to permit us to process personal information relating to Guests and Hosts on behalf of that business. Where applicable, you acknowledge that the business is the "controller"; or "business"; pursuant to privacy and data protection laws, and Greenvelope is a "processor"; or "service provider"; for the personal information we process on behalf of your business. 

How Long We Keep Your Information

We retain your information for as long as it serves the purposes for which it was collected as described in this Privacy Notice, as otherwise permitted by you, as necessary or appropriate to provide the Service, and for business continuity purposes. We also retain information as required or permitted by applicable law, to resolve disputes, and to enforce our rights and agreements.

Children

Our Service is not directed to or intended for those under the age of 13 (if in the US) and 16 (if outside the US). We do not knowingly collect the personal information of children as set forth in terms of ages above. If you become aware that we have, please let us know and we will immediately delete all such information from our servers and back-up facilities.
